Terms of Service

Acceptance of Terms

By accessing or using NepTrack's platform, website, mobile application, or any related services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, you may not use our Services.

These Terms apply to all users, including fleet operators, individual vehicle owners, government agencies, and API integration partners.

Services

NepTrack provides GPS vehicle tracking, fleet management, emergency SOS response, EV charging management, and related software services for use within Nepal. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

Service availability is subject to our 99.9% uptime SLA for subscribed accounts. Planned maintenance windows will be communicated in advance.

Accounts & Registration

To use NepTrack's platform, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Promptly notifying us of any unauthorised access to your account.
• Ensuring all users within your organisation comply with these Terms.

Accounts may not be transferred to another party without written consent from NepTrack.

Acceptable Use

You agree to use NepTrack's Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to track individuals without their knowledge or consent where required by law.
• Attempt to gain unauthorised access to any part of the platform or its infrastructure.
• Reverse-engineer, decompile, or disassemble any portion of the software.
• Use the Services in violation of Nepal's laws and regulations, including the Department of Transport Management (DoTM) requirements.
• Resell or sublicense access to the platform without written authorisation from NepTrack.
• Upload or transmit malicious code, viruses, or any software intended to disrupt or damage the platform.

Data & Privacy

Your use of NepTrack is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of data as described therein.

You retain ownership of your vehicle data and trip records. NepTrack does not sell your data to third parties. All data is stored within Nepal.

Fleet operators are responsible for ensuring their use of driver and vehicle tracking data complies with applicable Nepali labour and privacy laws.

Payment & Subscriptions

Access to NepTrack's paid features requires an active subscription. Subscription fees are billed annually per vehicle unless otherwise agreed in writing. Fees are non-refundable except as required by law or as specified in a separate agreement.

Failure to pay subscription fees may result in suspension of access. Accounts suspended for non-payment will retain data for 30 days before deletion.

Limitation of Liability

NepTrack provides its Services on an "as is" basis. To the maximum extent permitted by Nepali law, we are not liable for:

• Indirect, incidental, or consequential damages arising from use of the Services.
• Loss of vehicle data due to hardware failure, connectivity issues, or force majeure events.
• Decisions made based on GPS tracking data, including routing, safety, or compliance decisions.
• Service interruptions outside our reasonable control, including natural disasters, network outages, or government actions.

Our total liability to you for any claim shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

Termination

Either party may terminate these Terms by providing 30 days written notice. NepTrack may terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that endangers the platform or other users.

Upon termination, your access to the platform will cease and your data will be retained for 90 days before permanent deletion, unless you request earlier deletion.

Governing Law

These Terms are governed by the laws of Nepal. Any disputes arising from these Terms or your use of NepTrack's Services shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
